CEO’s Preface

Dear Humans,

in an age when technology is evolving at an unprecedented pace, it is essential that we at Humans.tech never lose sight of what makes us unique: our ability to combine technological innovation with empathy, authenticity and human dedication.

Our goal is to create an environment where these qualities merge, becoming the engine that drives the success of tomorrow’s digital products.

Achieving this vision requires a strong sense of coordination and a shared commitment to respecting clear and well-defined ethical principles and rules of conduct. This internal regulation has been developed to provide each of us with practical and detailed guidance on how to behave and interact, both internally and externally.

We want to make sure that every interaction, whether it’s a video conference, an email, or an in-person meeting, reflects our core values of integrity, transparency, and respect. The rules contained in this document are not only operational guidelines, but represent our collective commitment to ethical and professional behaviour in all circumstances.

We firmly believe that the success of our company depends not only on our technical capabilities, but also on how we treat others and how we comply with the laws and regulations that govern our industry. This is why we have included detailed sections on the confidentiality of information, the correctness of accounting operations, safety at work and the management of relations with our customers, suppliers and public institutions.

I invite all of you to read this regulation carefully and to internalize its principles. Your adherence to these rules is critical to creating a harmonious, safe, and productive work environment. We are all an integral part of this great community called Humans.tech, and each of us has a duty and responsibility to contribute to its success.

Introduction

This Code of Ethics describes the ethical obligations and responsibilities that characterise the business activities of Humans S.R.L. (Humans.tech or the Company). Specifically, the document outlines the rights, obligations and responsibilities of Humans.tech towards stakeholders (employees, suppliers, customers, PA, shareholders…) and defines the rules of conduct that everyone who operates in the name or on behalf of (managers, employees, executives, advisors and consultants) Humans.tech undertakes to respect in relation to its business and corporate activities.

At Humans.tech, we take a distinctive approach that makes us unique in our industry. While we take our work very seriously, we never forget the importance of a relaxed and informal work environment. We are convinced that joking, keeping our feet on the ground and facing challenges with simplicity and dynamism are fundamental elements of our company DNA. This spirit allows us to be agile, responsive and creative, clearly distinguishing ourselves from traditional system integrators.

We are driven by a philosophy that blends technology and empathy. We believe in the power of ideas and the importance of facing challenges with courage and innovation. Each team member is involved and accountable, ensuring that each component works perfectly. We value freedom of expression and recognize the importance of imperfection and empathy. The code of ethics outlines the ethical and moral standards that the Company must follow to ensure correct and efficient internal and external relations, also considering the appropriate principles at the Compliance level, following the laws and regulations of all the countries in which it operates.

Our ethical principles in business management

All Humans.tech operations are based on the highest principles of respect for shared values: honesty, integrity, professionalism, competence, confidentiality, loyalty, good faith and compliance with applicable laws and regulations. Consequently, anyone holding administrative, representative and/or management roles in the Company, including employees, collaborators and all those who work on behalf of the Company, are required to scrupulously follow this Code of Ethics in the context of their duties and responsibilities.
Humans.tech undertakes to disseminate the Code of Ethics among all interested parties, so that they can conform their behaviors to it during the performance of their respective professional and work activities.

The responsibility for the dissemination of the Code of Ethics and any initiative aimed at promoting and encouraging compliance with it is entrusted to the directors and managers active in the Company.
Humans.tech has created a list of values that guide its entire activity, and of which it is committed to disseminating knowledge within its company organization. The aforementioned values, which permeate the Company’s behaviours, are identified with:

  • Integrity: considered a fundamental requirement to establish a relationship of trust between our teams and customers, ensuring the credibility of professional judgment. Humans.tech therefore requires its employees and collaborators to maintain integrity, honesty, transparency and a sense of responsibility during the performance of professional activities.
  • Objectivity: an essential principle to conduct all the necessary analyses within the assigned projects. At this stage every decision must be made independently of external influences or personal interests.
  • Competence and professional diligence: essential requirements in the realization of Humans.tech’s activities. These two concepts must be considered in relation to the high level of technical knowledge and skills to be applied to professional performance. It follows that each employee and/or collaborator of the Company has a duty of continuous professional updating. At the same time, there is a need for a commitment on the part of Humans.tech aimed at guaranteeing suitable training and professional growth tools, as well as promoting innovation, the development of new ideas through critical thinking and proactivity, in order to increase the value towards our interlocutors. With this in mind, Humans.tech has set up a semi-annual evaluation system for the systematic evaluation of the skills acquired by all employees, based on homogeneous and standardized criteria. This allows the Team Leaders and the Board to identify the strengths and weaknesses of each one, planning the training and growth path, professional and personal, most suitable for achieving high quality standards.
  • Impartiality: value in which the Company strongly believes and thanks to which any type of discrimination based on sex, race, ethnicity, language, religion, political orientation, is eradicated.
  • Responsibility: essential to act consciously, in full compliance with all professional and ethical codes of conduct, thus reducing involvement in situations that may give rise to conflicts of interest.
  • Respect: necessary to ensure mutual esteem, as an essential aspect of business life.
  • Transparency: towards internal and external stakeholders, who must always be informed about the economic and financial situation, through clear and transparent tools. Transparent and complete information is the basis of all accounting records and obligations, as well as the drafting and preparation of all documentation relating to the company’s activities.
  • Legitimacy: understood as compliance with all laws, regulations, administrative provisions and in general with the legislation applicable in the countries in which it operates. In the performance of their respective tasks and duties, the recipients must comply with all applicable legal provisions.
  • Reliability: central both to ensure compliance with all accepted commitments, and for the consistency of results with respect to the proposed commitments, promoting trust in all business practices.
  • Safety and Environment: in order to ensure a safe, healthy and structured working environment to protect the safety of personnel and the environment.
